These Terms of Service ("Terms") govern your access to and use of PayTo.us ("PayTo.us", "we", "us", or "our"), a platform that enables merchants to accept online payments for digital products, services, and subscriptions. By creating an account, embedding a payment button, or completing a purchase through PayTo.us, you agree to be bound by these Terms.
Please read these Terms carefully. If you do not agree with them, you must not use our services.
1. Definitions
- "Platform" means the PayTo.us website, dashboard, APIs, payment pages, and embeddable components.
- "Merchant" means a user who registers to sell products or collect payments through the Platform.
- "Buyer" or "Customer" means a person who makes a payment to a Merchant through the Platform.
- "Payment Processor" means Stripe, our third-party provider that processes card and other payments.
2. The Service
PayTo.us provides tools that let Merchants create products, generate hosted payment pages and embeddable buttons, manage orders and invoices, issue refunds, and offer subscriptions. We are a technology and facilitation layer; we are not a bank, and the actual movement of funds is performed by our Payment Processor.
PayTo.us does not buy or sell the products offered by Merchants and is not a party to the contract of sale between a Merchant and a Buyer.
3. Eligibility and Accounts
To register as a Merchant you must be at least 18 years old and capable of forming a binding contract. You agree to provide accurate, current, and complete information and to keep it up to date.
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized access. We may suspend or terminate accounts that contain inaccurate information or that are used in violation of these Terms.
4. Merchant Obligations
As a Merchant, you agree that you will:
- Sell only lawful products and services that you are authorized to sell;
- Provide clear, accurate descriptions, pricing, and delivery terms to Buyers;
- Publish or honor a refund and support policy and respond to customer inquiries in good faith;
- Be solely responsible for the calculation, collection, and remittance of any applicable taxes; and
- Comply with all applicable laws, card-network rules, and our Payment Processor's terms.
Prohibited products and activities include, without limitation: illegal goods or services; weapons and regulated items where prohibited; adult content where not permitted; counterfeit or infringing goods; pyramid or Ponzi schemes; unregistered financial or gambling services; and any use intended to facilitate fraud or money laundering.
5. Buyer Terms
When you make a payment through PayTo.us, you authorize the Payment Processor to charge your selected payment method for the total amount shown, including any applicable taxes. You represent that you are authorized to use the payment method provided.
Your purchase is a contract between you and the Merchant. Questions about a product, delivery, or refund should first be directed to the Merchant.
6. Fees, Payments, and Payouts
PayTo.us and/or its Payment Processor may charge fees for processing transactions. Applicable fees are disclosed in your dashboard or pricing page before you transact. Payment-processing fees charged by Stripe are governed by Stripe's pricing.
Payouts of Merchant funds are made to the bank account or payout method connected to the Merchant's Payment Processor account, subject to the Payment Processor's payout schedule, verification, and risk holds. Transactions are processed in the currencies supported by the Payment Processor.
7. Refunds and Chargebacks
Refunds are governed by our Refund Policy and the policy published by each Merchant. Merchants are responsible for funding refunds they issue.
If a Buyer initiates a chargeback or dispute with their card issuer, the disputed amount and any associated fees may be debited from the relevant Merchant. Merchants agree to cooperate in resolving disputes and to provide evidence as requested.
8. Prohibited Activities
You agree not to: (a) use the Platform for any unlawful purpose; (b) attempt to gain unauthorized access to the Platform or other accounts; (c) interfere with or disrupt the integrity or performance of the Platform; (d) reverse engineer or scrape the Platform except as permitted by law; or (e) use the Platform to transmit malware or to engage in fraudulent, deceptive, or abusive conduct.
9. Intellectual Property
The Platform, including its software, design, logos, and content, is owned by PayTo.us or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable license to use the Platform in accordance with these Terms.
Merchants retain ownership of the content and product materials they upload and grant PayTo.us a license to host, display, and process that content as necessary to provide the service.
10. Third-Party Services
The Platform relies on third-party services, including Stripe for payment processing. Your use of those services may be subject to their own terms and privacy policies. PayTo.us is not responsible for the acts or omissions of third-party providers.
11. Disclaimers and Limitation of Liability
The Platform is provided "as is" and "as available" without warranties of any kind, as further described in our Disclaimer. To the maximum extent permitted by law, PayTo.us will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Platform.
12. Indemnification
You agree to indemnify and hold harmless PayTo.us and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Platform, your products or services, or your violation of these Terms or applicable law.
13. Suspension and Termination
We may suspend or terminate your access to the Platform at any time if you breach these Terms, if required by our Payment Processor or law, or to protect the Platform and its users. You may stop using the Platform at any time. Provisions that by their nature should survive termination will survive.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated through the Platform or by email. Your continued use after changes take effect constitutes acceptance of the revised Terms.
15. Governing Law and Disputes
These Terms are governed by the laws applicable to the entity operating PayTo.us, without regard to conflict-of-laws principles. You agree to first attempt to resolve any dispute informally by contacting us before pursuing formal proceedings.
